Terms of Service

These Terms of Service govern access to and use of Hivexel Compliance (the “Service”). By creating an account, inviting users or using the Service, you accept these Terms, the Privacy Policy and the Data Processing Agreement (DPA), which form part of this contract. If you do not agree, do not use the Service.

1. Who provides the Service

The Service is provided by Hivexel, operator of https://hivexel.com and https://comply.hivexel.com. For contractual, support and privacy contact: [email protected].

This document identifies the provider by the Service domains and the email above. Additional commercial identification required by law — including, where applicable, tax identification number and registered office — appears on invoices issued through our payment provider and will be supplied on request to the same email. Omitting those details here does not limit any rights you have under law.

The Service is intended for organisations (professional / B2B use), not for consumers acting in a personal capacity. If you are a consumer and mandatory law protects you, those rules prevail.

2. What the Service is — and is not

Hivexel Compliance is an organisation tool for tracking obligations, deadlines, documentary evidence, people, equipment, suppliers, tasks and their history. It helps you notice documents and certificates before they expire.

The Service is not legal, tax, employment, health-and-safety, data-protection or compliance advice. Templates, categories and help text are starting points only. Whether an obligation applies to your organisation is your responsibility and should be confirmed with your advisers. A “compliant” status in the product reflects the information you entered, not a legal certification.

3. Account, organisation and users

You must provide accurate registration details and keep credentials confidential. You are responsible for activity under your account and by users you invite.

The customer organisation appoints an owner with authority to manage billing, members and settings. Anyone who invites a user represents that they have authority to do so. Invitees access the Service under the organisation’s contract and must follow these Terms.

We may suspend access for serious breach, security risk, non-payment after notice, or legal obligation.

4. Customer data and documents

Content the organisation uploads or enters (including employee, supplier and equipment data and files) is Customer Data. The organisation remains the controller of that data. Hivexel processes it only as a processor, under the DPA.

You warrant that you have a lawful basis to upload Customer Data — including, if you choose to, occupational medical-fitness certificates or other documents that may contain health or special-category data — and that data subjects have been informed where the law requires it. Do not use the Service as a clinical record or for purposes incompatible with tracking obligations.

You are responsible for the accuracy of information you enter and for the consequences of missed deadlines, missing documents or incorrectly configured compliance statuses.

5. Acceptable use

You may use the Service only for lawful purposes in your organisation’s interest. In particular you must not:

  • attempt to access other accounts, data or organisations without authorisation;
  • interfere with the security, availability or integrity of the Service;
  • upload malware, unlawful content or data you are not entitled to process;
  • resell the Service or use it to build a competing service on our platform without written agreement;
  • circumvent plan limits abusively (for example by sharing logins instead of inviting users).

6. Trial, plans, payment and cancellation

The plans, limits and prices in force are those shown at https://comply.hivexel.com/pricing when you subscribe. Prices are in euros and include VAT unless stated otherwise.

The trial lasts 14 days and does not require a card at sign-up. When the trial ends, paid features may be limited until an active subscription exists. Paid subscriptions renew automatically until cancelled.

Payment is processed by Stripe. You can manage payment method, invoices and cancellation in billing settings (Stripe customer portal). Cancellation takes effect at the end of the period already paid, unless the law requires otherwise. Except where the law requires a refund, amounts already due are non-refundable.

If payment fails, we may restrict the Service after notice. Organisation data is not deleted automatically merely because a trial or subscription ended; you may request export or deletion under the Privacy Policy and DPA.

7. Intellectual property

The software, brand, interface and original Hivexel content belong to us or our licensors. We grant you a limited, non-exclusive, non-transferable licence to use the Service during the contract, according to your plan.

Customer Data (including uploaded documents) remains yours. You grant us only the licence needed to host, process, display and back up that data in order to provide the Service.

8. Availability, changes and support

We provide the Service with professional care, but we do not warrant uninterrupted availability, specific response times, or that the Service is error-free. We may change features, technical limits and these Terms; material changes will be announced by email or in-product with reasonable notice, except for security urgency or legal requirement.

Support is provided by email to [email protected], during business hours in Portugal, with no contractual SLA unless agreed in writing (for example on the Pro plan, when advertised).

9. Limitation of liability

To the maximum extent permitted by Portuguese law, Hivexel is not liable for: (a) legal breaches, fines, workplace accidents, failed audits or losses arising from incomplete, late or incorrect information you entered; (b) lost profits, data loss to the extent you do not keep your own copies, or indirect damages; (c) acts of third parties (including payment, email or hosting providers) beyond our reasonable control.

Hivexel’s total liability for claims arising from these Terms in any 12-month period is limited to the amount you actually paid for the Service in that period (or, if you are still on a free trial, €100). This cap does not apply to wilful misconduct, gross negligence, harm to life or physical integrity, or other cases where the law forbids limitation.

10. Term and termination

The contract starts when the account is created and continues while the organisation uses the Service or has an active subscription. You may stop using the Service and request closure of the organisation via [email protected].

After termination we stop providing the Service and handle Customer Data as set out in the DPA (export on reasonable request, then deletion or anonymisation after any residual period needed for legal duties such as invoicing).

11. Governing law and disputes

These Terms are governed by Portuguese law. Disputes arising from use of the Service are submitted to the Portuguese courts, without prejudice to any mandatory rules that apply to you.
